1. Agreement to Terms

By accessing or using Orchesity AI's intelligent multi-agent orchestration platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms constitute a legally binding agreement between you and Orchesity AI, Inc. ("Company," "we," "our," or "us") regarding your use of our platform that coordinates specialized AI agents to generate complete software projects.

2. Description of Service

Orchesity AI provides an AI meta-agent orchestration platform that:

• Intelligently decomposes complex backend projects into specialized tasks
• Routes tasks to optimal specialized agents (backend, database, API design, DevOps, security, etc.)
• Coordinates agent collaboration to generate complete, integrated backend infrastructure
• Provides project management, version control, and deployment capabilities
• Generates production-ready REST APIs in 9 languages (Python/FastAPI/Django, Node.js/Express/NestJS, Go/Gin, Java/Spring, C#/.NET, Ruby/Rails, PHP/Laravel)

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

3. Account Registration & Access

To use the Service, you must:

• Create an account with accurate, current information
• Be at least 18 years old or have parental/guardian consent
• Maintain the security of your credentials and API keys
• Accept responsibility for all activity under your account
• Notify us immediately of any unauthorized access

Accounts are non-transferable. Each workspace may have multiple users with role-based access controls.

4. Subscription Plans & Billing

4.1 Pricing Tiers

We offer multiple subscription tiers (Free, Pro, Enterprise) with varying limits on:

• Number of projects per month
• Agent orchestration calls and AI routing requests
• Workspace members and collaboration features
• Priority support and custom agent development

4.2 Payment Terms

• Subscriptions are billed monthly or annually in advance
• All fees are non-refundable except as required by law
• We may change pricing with 30 days notice to existing subscribers
• Failure to pay may result in service suspension or termination
• You authorize us to charge your payment method on file automatically

5. Acceptable Use Policy

You agree NOT to use the Service to:

• Generate code for illegal, fraudulent, or malicious purposes
• Create applications that violate laws, regulations, or third-party rights
• Develop malware, exploits, or security vulnerabilities
• Bypass rate limits, quotas, or technical restrictions
• Reverse engineer, decompile, or extract our orchestration algorithms
• Resell, redistribute, or white-label the Service without authorization
• Generate content that is hateful, harmful, or violates our content policy
• Use the Service to compete directly with Orchesity AI
• Overload our infrastructure or interfere with other users

6. Intellectual Property Rights

6.1 Your Generated Code & Projects

You own all rights, title, and interest in the code and projects generated through our Service.We grant you a perpetual, worldwide, royalty-free license to use, modify, distribute, and commercialize your generated projects without restriction.

6.2 Our Platform & Technology

We retain all rights to:

• The Orchesity AI platform, interface, and orchestration engine
• Meta-agent intelligence and AI routing algorithms
• Agent coordination logic and task decomposition systems
• Branding, trademarks, and proprietary technologies

6.3 Training Data & Improvement

We may use anonymized orchestration patterns from your usage to improve our meta-agent's intelligence, but we will never share your specific project implementations publicly or use your proprietary code in our training data without explicit consent.

7. AI-Generated Content Disclaimer

Important: Code and projects generated by our AI agents are provided "as-is" and:

• May contain errors, bugs, or security vulnerabilities
• Should be reviewed, tested, and validated before production deployment
• Are not guaranteed to be error-free or meet your specific requirements
• May require human oversight and modification
• Should comply with your own security and compliance standards

You are solely responsible for testing, validating, and deploying generated code.We recommend code reviews, security audits, and comprehensive testing before production use.

8. Data Privacy & Third-Party AI Models

Our Service uses third-party AI models (OpenAI, Anthropic, etc.) to power specialized agents. Your prompts and project descriptions are sent to these providers to generate responses. Each provider has their own privacy policy and data handling practices.

9. Service Availability & Support

We strive for 99.9% uptime but do not guarantee uninterrupted service. We are not liable for:

• Scheduled maintenance windows (announced in advance)
• Third-party AI model outages or rate limiting
• Network connectivity issues beyond our control
• Force majeure events

Support is provided based on your subscription tier. Enterprise customers receive priority support and SLA guarantees.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORCHESITY AI SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, business opportunities, or reputation
• Errors, bugs, or vulnerabilities in AI-generated code
• Third-party AI model failures or inaccuracies
• Damages exceeding the amount you paid us in the past 12 months

11. Termination

We may suspend or terminate your access to the Service:

• For violation of these Terms or our Acceptable Use Policy
• For fraudulent or illegal activity
• For non-payment of fees
• At our discretion with reasonable notice

You may cancel your subscription at any time. Upon termination, you retain ownership of all generated projects, but lose access to the platform and collaboration features.

12. Changes to Terms

We may update these Terms periodically. Material changes will be notified via email or platform notification at least 30 days in advance. Continued use of the Service after changes constitutes acceptance of new Terms.

13. Governing Law

These Terms are governed by the laws of Florida, United States, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration or courts in Gulf Breeze, Florida.
