1. Acceptance of Terms

By accessing or using Orchesity ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

Orchesity Inc. ("Company", "we", "our", "us") reserves the right to modify these Terms at any time. Continued use after changes constitutes acceptance.

2. Service Description

Orchesity is an AI-powered backend generation platform that:

  • Generates production-ready backend code across 11 frameworks (FastAPI, NestJS, Spring, Flask, Django, Express, Fiber, Gin, .NET, Laravel, Rails)
  • Provides automated Git/Docker deployment pipelines
  • Routes requests to optimal AI providers (OpenAI, Anthropic, Google Gemini)
  • Offers enterprise-grade infrastructure with 99.9% uptime SLA (Enterprise tier)

3. User Accounts

3.1 Registration

  • You must be at least 18 years old to use Orchesity
  • Provide accurate, current, and complete registration information
  • Maintain the security of your password and account
  • You are responsible for all activities under your account

3.2 Account Termination

We may suspend or terminate your account if you:

  • Violate these Terms or our Acceptable Use Policy
  • Engage in fraudulent activity or abuse the Service
  • Fail to pay subscription fees
  • Pose a security risk to the platform or other users

4. Subscription Plans & Pricing

4.1 Pricing Tiers

  • Free: $0/month - 2 credits/month, 2 projects max
  • Starter: $29/month - 50 credits/month, 50 projects max
  • Pro: $99/month - 250 credits/month, 250 projects max
  • Enterprise: $299/month - 1000 credits/month, unlimited projects

4.2 Billing

  • Subscriptions are billed monthly in advance
  • Credits reset on your billing cycle date (monthly)
  • Unused credits do not roll over to the next month
  • All payments are processed securely through Stripe
  • Prices are in USD and may change with 30 days' notice

5. Acceptable Use Policy

You agree NOT to:

  • Generate malicious code (malware, viruses, exploits, ransomware)
  • Use the Service for illegal activities or to violate third-party rights
  • Reverse-engineer, decompile, or attempt to extract source code
  • Share your account credentials or resell Service access
  • Overload our infrastructure with excessive API requests (rate limits apply)
  • Scrape or harvest data from other users
  • Generate code that violates copyright, patents, or trade secrets
  • Use the Service to compete with Orchesity or build similar products

6. Intellectual Property

6.1 Generated Code Ownership

You own all rights to the code generated by Orchesity. We grant you a perpetual, worldwide, royalty-free license to use, modify, and distribute the generated code without restriction.

6.2 Platform Ownership

Orchesity retains all rights to:

  • The Orchesity platform, API, and infrastructure
  • All trademarks, logos, and branding
  • Proprietary AI routing algorithms and optimization logic
  • Documentation, guides, and training materials

7. Service Availability & Support

7.1 Uptime Guarantees

  • Free/Starter: Best-effort availability (no SLA)
  • Pro: 99.5% uptime SLA
  • Enterprise: 99.9% uptime SLA with priority support

7.2 Maintenance

We may perform scheduled maintenance with 48 hours' notice. Emergency maintenance may occur without notice to address critical security issues.

8. Data & Privacy

Your use of Orchesity is also governed by our Privacy Policy. Key points:

  • We do not sell your data
  • Generated code is stored securely with encryption
  • AI providers process prompts under strict data agreements
  • You can export or delete your data at any time

9. Disclaimers & Limitation of Liability

9.1 AI-Generated Code

Orchesity uses AI models to generate code. While we strive for quality:

  • No Warranty: Code is provided "AS IS" without guarantees of correctness, security, or fitness
  • Testing Required: You are responsible for testing and validating generated code before production use
  • Security: Review code for vulnerabilities; we are not liable for security issues
  • Compliance: Ensure code meets your regulatory requirements (GDPR, HIPAA, etc.)

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORCHESITY SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages exceeding the amount you paid in the past 12 months
  • Issues caused by third-party services (AI providers, hosting, payment processors)

10. Refund Policy

  • Free Tier: No refunds applicable
  • Paid Plans: 14-day money-back guarantee for first-time subscribers
  • Cancellation: Cancel anytime; no refunds for partial months
  • Disputes: Contact billing@orchesity.com within 14 days

11. Indemnification

You agree to indemnify and hold Orchesity harmless from any claims, damages, or expenses arising from: (a) your use of the Service, (b) violation of these Terms, (c) infringement of third-party rights, or (d) misuse of generated code.

12. Governing Law

These Terms are governed by the laws of Delaware, United States, without regard to conflict of law provisions. Any disputes will be resolved through binding arbitration in Delaware.
