1. Acceptance of Terms
Welcome to Orchesity ("Service"), a product of Kolerr Lab ("Company," "we," "us," or "our"). By accessing or using Orchesity at orchesity.com or any associated subdomain, API endpoint, or application (collectively, the "Platform"), you ("User," "you," or "your") agree to be legally bound by these Terms of Service ("Terms").
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" or "your" refers to that entity.
If you do not agree to these Terms in their entirety, you may not access or use the Service. Your continued use of the Service after any change to these Terms constitutes your acceptance of the revised Terms.
You must be at least 18 years of age, or the age of legal majority in your jurisdiction (if greater), to use the Service. By using the Service you represent and warrant that you meet this requirement.
2. Description of Service
Orchesity is an AI-powered software architecture and backend scaffold generation platform. The Service uses large language model (LLM) APIs to analyze natural-language requirements provided by users and generate structured, framework-specific backend project scaffolds, documentation, and architectural guidance ("Generated Output").
The Service includes, but is not limited to:
- →AI-powered 16-phase backend scaffold generation across 100+ frameworks and 12+ programming languages
- →Downloadable project archives (ZIP format) of Generated Output
- →Automated GitHub repository creation and code push via OAuth integration
- →Backend Transformer for performance and architecture optimization of existing codebases (paid plans)
- →Credit-based usage system tied to subscription tiers
- →User account management, history, and generation analytics
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will endeavor to provide reasonable advance notice of material changes where practicable.
3. Account Registration & Security
To access most features of the Service you must register for an account. You may register using an email/password combination or through a supported third-party OAuth provider (currently Google and GitHub).
You agree to:
- →Provide accurate, current, and complete information during registration and keep it updated
- →Maintain the confidentiality of your account credentials and not share them with any third party
- →Notify us immediately at support@orchesity.com of any unauthorized use of your account
- →Accept responsibility for all activity that occurs under your account, whether authorized by you or not
- →Not create more than one individual account or create accounts for the purpose of abusing free credits
We reserve the right to suspend or terminate accounts found to be engaged in multi-accounting, fraudulent credit acquisition, or any other abuse of the registration system.
4. Subscription Plans & Credits
The Service operates on a credit-based subscription model. Credits are consumed when you initiate a generation. The current credit consumption rates are:

Each standard backend scaffold generation consumes 1 credit. Strict Mode verification and Backend Transformer operations may consume additional credits as displayed at the time of use.
Credits are allocated monthly and reset at the start of each billing cycle. Unused credits do not roll over to subsequent billing periods and have no cash value. Credits are not transferable between accounts.
We reserve the right to adjust credit costs with 30 days' prior notice to active subscribers. Continued use after the effective date of a credit cost change constitutes acceptance of the new rates.
5. Payment & Billing
All paid subscription payments are processed by Stripe, Inc., a third-party payment processor. By subscribing to a paid plan you authorize us to charge your payment method on a recurring monthly basis.
Subscription fees are billed in advance on a monthly basis. Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date via the Customer Portal (accessible from your Billing settings). Cancellation takes effect at the end of the current paid period; you retain access and credits until then.
All charges are in United States Dollars (USD). You are responsible for any applicable taxes imposed by your jurisdiction. If your payment method fails, we may attempt re-billing up to three times within seven days, after which your account may be downgraded to the Free plan and your credits reduced accordingly.
Prices are subject to change. We will provide at least 30 days' notice of price changes to affected subscribers via the email address on file.
6. Refund Policy
All subscription fees are non-refundable except as required by applicable law. This includes partial-month fees after cancellation. You will retain access to your paid plan and credits through the end of your current billing period.
Exception — Technical Failure. If you experience a verifiable technical failure attributable to our Service that prevents a generation from completing (i.e., a generation is debited but no output is produced and the failure is confirmed by our logs), we will restore the consumed credit(s) to your account within 5 business days upon request to support@orchesity.com. Credit restoration, not monetary refund, is the exclusive remedy for failed generations.
New subscriber goodwill refund. At our sole discretion, customers who have subscribed within the prior 72 hours and have not consumed more than 5 credits on the new subscription may request a full refund by contacting support@orchesity.com. Refund requests under this policy are limited to one per customer, lifetime.
7. Acceptable Use Policy
You agree not to use the Service to:
- ✕Generate, distribute, or facilitate the creation of malware, ransomware, spyware, exploits, or any other malicious software
- ✕Produce code intended to gain unauthorized access to systems, networks, or databases
- ✕Violate any applicable federal, state, local, or international law or regulation
- ✕Generate content that is defamatory, harassing, threatening, obscene, or otherwise objectionable
- ✕Infringe, misappropriate, or violate any intellectual property, privacy, or other rights of any third party
- ✕Attempt to reverse-engineer, decompile, or extract the underlying AI models, prompts, or constitution files that power the Service
- ✕Scrape, crawl, or use automated tools to extract content from the Service beyond standard API usage
- ✕Circumvent or attempt to circumvent any rate limits, credit limits, access controls, or security features
- ✕Generate scaffolds at scale for the purpose of resale without explicit written authorization from Kolerr Lab
- ✕Use the Service in any manner that could damage, disable, overburden, or impair the Service's infrastructure
Violation of this Acceptable Use Policy is grounds for immediate account termination without refund. We reserve the right, but not the obligation, to monitor use of the Service for compliance purposes.
8. Intellectual Property
Your ownership of Generated Output. Subject to your compliance with these Terms and full payment of all applicable fees, we assign to you all right, title, and interest in the Generated Output produced by the Service in response to your specific prompts. You may use, modify, distribute, and commercialize Generated Output without attribution to Kolerr Lab or Orchesity.
Our ownership of the Platform. The Service, including its underlying technology, AI models, prompts, constitution files, algorithms, user interface, branding, and all intellectual property embodied therein, remains the exclusive property of Kolerr Lab. Nothing in these Terms grants you any license to the Platform itself beyond the right to use the Service as described herein.
Your content. You retain all rights to the natural-language descriptions and other content you submit to the Service ("User Input"). You grant Kolerr Lab a limited, non-exclusive, worldwide, royalty-free license to process, store, and transmit your User Input solely as necessary to provide and improve the Service. We do not use your User Input to train third-party AI models or share it with third parties except as described in our Privacy Policy.
Third-party open source. Some Generated Output may include references to or recommendations for open-source libraries, frameworks, and tools that are subject to their own licenses (e.g., MIT, Apache 2.0, GPL). You are solely responsible for reviewing and complying with the applicable licenses for any third-party components you choose to incorporate into your projects.
9. AI-Generated Content & Limitations
The Service uses large language models (currently OpenAI's GPT-4 class models) to generate code, architecture documentation, and related content. You acknowledge and agree that:
- →Generated Output is provided as a starting point — a scaffold — and is not production-ready code. It requires human review, testing, and modification before deployment.
- →AI models may produce inaccurate, incomplete, outdated, or otherwise incorrect content. We do not warrant the correctness, security, or suitability of Generated Output for any particular purpose.
- →Generated Output may contain code patterns that, when deployed without review, could introduce security vulnerabilities. You bear sole responsibility for security review and hardening.
- →We are not responsible for any direct, indirect, incidental, or consequential damages arising from your use of Generated Output in production systems.
- →AI-generated code may unintentionally resemble existing code in training data. You are responsible for ensuring Generated Output does not infringe third-party intellectual property before use.
10. Third-Party Services
The Service integrates with or relies upon the following third-party services. Your use of these integrations is subject to their respective terms and policies:
OpenAI
Provides the AI language models used for generation. Your prompts are transmitted to OpenAI's API and processed according to OpenAI's usage policies and privacy policy.

11. Data & Privacy
Our collection, use, storage, and sharing of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
Generated projects and prompt history are retained in our systems for up to 90 days following generation. Downloaded ZIP files may be deleted from our storage earlier for capacity reasons. You are solely responsible for retaining your own copies of Generated Output.
On account deletion, we will delete or anonymize your personal data within 30 days, subject to retention obligations imposed by law or contract (e.g., financial records required for tax purposes).
12. Disclaimers & Warranties
The Service is provided "as is" and "as available."
To the maximum extent permitted by applicable law, Kolerr Lab expressly disclaims all warranties of any kind, whether express, implied, or statutory, with respect to the Service and all Generated Output, including but not limited to:
- —Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- —Warranties that the Service will be uninterrupted, error-free, or free from viruses or harmful components
- —Warranties regarding the accuracy, completeness, reliability, or suitability of any Generated Output
- —Warranties that the Service will meet your specific requirements
Some jurisdictions do not allow the exclusion of certain warranties; in such jurisdictions our liability is limited to the minimum extent permitted by applicable law.
13. Limitation of Liability
Indirect damages. To the maximum extent permitted by applicable law, Kolerr Lab and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or related to your use of the Service, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, even if we have been advised of the possibility of such damages.
Aggregate cap. In no event shall Kolerr Lab's total aggregate liability to you for any claims arising out of or relating to these Terms or the Service exceed the greater of: (a) the total amount paid by you to Kolerr Lab in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars (USD $100).
This limitation of liability reflects a reasonable allocation of risk and is a fundamental element of the basis of the bargain between Kolerr Lab and you.
14. Indemnification
You agree to indemnify, defend (at Kolerr Lab's option), and hold harmless Kolerr Lab and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any claims, liabilities, damages, losses, costs, expenses, and attorneys' fees arising out of or relating to:
- →Your access to or use of the Service
- →Your violation of any provision of these Terms
- →Your violation of any applicable law, regulation, or third-party right (including intellectual property rights)
- →Your use of Generated Output in any product, service, or system you develop
- →Any content you submit, post, or transmit through the Service
15. Termination
By you. You may terminate your account at any time by using the account deletion feature in your Settings page or by emailing support@orchesity.com. Termination does not entitle you to any refund of unused subscription fees or credits.
By us. We reserve the right to suspend or terminate your account, with or without notice, for any reason, including but not limited to: violation of these Terms, fraudulent activity, extended non-payment, or if we reasonably believe your use of the Service poses a risk to other users or the integrity of the platform.
Upon termination, your right to use the Service ceases immediately. Sections of these Terms which by their nature should survive termination (including Sections 8, 9, 12, 13, 14, 16, and 17) shall survive.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-law provisions. If you are located outside the United States, you agree to submit to the exclusive jurisdiction of the courts located in Delaware for resolution of any dispute, subject to the dispute resolution clause below.
Users located in the European Economic Area (EEA): To the extent required by applicable EU law, certain protections afforded to consumers under EU law may apply to your use of the Service and shall not be waived by this governing law clause.
17. Dispute Resolution
Informal resolution. Before initiating any formal legal proceeding, you agree to contact us at legal@orchesity.com and provide a written description of the dispute, the relief sought, and your contact information. We will attempt in good faith to resolve the dispute informally within 30 days.
Binding arbitration. If the dispute is not resolved informally within 30 days, any unresolved claim, controversy, or dispute arising out of or relating to these Terms or the Service (each, a "Dispute") shall be submitted to binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in English, with the seat in Wilmington, Delaware.
Class action waiver. YOU AND KOLERR LAB EACH WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. Any Dispute must be brought in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
Exceptions. Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened misappropriation of intellectual property or breach of confidentiality obligations pending arbitration.
Small claims court. You may bring qualifying claims in a small claims court of competent jurisdiction in lieu of arbitration.
18. Changes to Terms
We may revise these Terms at any time. When we make material changes, we will notify you by:
- →Sending an email to the address associated with your account at least 14 days before the effective date
- →Displaying a prominent banner in the application dashboard
- →Updating the "Last updated" date at the top of this page
Your continued use of the Service after the effective date of any revision constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service and may cancel your subscription before the effective date without penalty.

Miscellaneous
Entire Agreement. These Terms, together with our Privacy Policy and any supplemental agreements or policies we provide, constitute the entire agreement between you and Kolerr Lab regarding the Service and supersede all prior agreements and understandings.
Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Waiver. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to assert any right under these Terms shall not constitute a waiver of such right.
Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction in connection with a merger, acquisition, or sale of assets.
Force Majeure. Kolerr Lab shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including acts of God, war, terrorism, labor disputes, government actions, or failures of third-party infrastructure (including cloud providers and API services).
